When the report.....

says "this is capital not equity" that pretty much rules out 2 of your 3 options unless the report is wrong. Convertible instruments are not generally described or stated as not equity and conversion features explicitly disclosed. If you're going to "reserve judgement for now" you might want to hold off on stating "the money does give options" until more details are known or at least say it COULD rather than definitively DOES give options.
